Terms of Service

1. Acceptance of Terms

By accessing or using Producer Brain ("Service"), operated by Gian Demenga / ProducerBrain, Burgerstrasse 14, 3063 Ittigen, Switzerland, you agree to these Terms of Service. If you do not agree, you must not use the Service.

2. Description of the Service

Producer Brain is a desktop application and online service designed for music producers to:

• Manage contacts and industry relationships
• Organize sample sendouts
• Manage opportunities and projects
• Collaborate with team members

3. Accounts

To use certain features you may be required to create an account. You agree to:

• Provide accurate information
• Keep your login credentials secure
• Be responsible for all activities under your account

4. Acceptable Use

You agree not to use the Service to:

• Violate laws or regulations
• Send spam, abusive messages, deceptive messages, or unsolicited bulk outreach
• Distribute malware
• Infringe intellectual property rights
• Misrepresent your identity, affiliation, or the purpose of an email

Producer Brain may suspend accounts that violate these terms.

5. Email Outreach and Recipient Consent

Producer Brain provides tools for user-initiated email sendouts. You are responsible for the recipients you contact and the content you send.

• You must only send emails to recipients where you have a lawful basis, permission, prior relationship, or other valid reason under applicable law.
• You must respect unsubscribe, opt-out, do-not-contact, and similar requests.
• You must comply with applicable anti-spam, privacy, and electronic communication rules, including Gmail sender requirements when using Gmail.
• You must not use Producer Brain to evade rate limits, abuse Gmail, or send misleading commercial messages.

Producer Brain may add unsubscribe links to multi-recipient sendouts, record unsubscribe and suppression events, skip suppressed recipients, and prevent future sendouts to recipients marked unsubscribed, do-not-contact, bounced, or complained.

6. User Content

Users may upload or store data including contacts, notes, and file references. You retain ownership of your content. By using the Service you grant Producer Brain the right to process and store the data necessary to provide the Service.

7. Integrations

The Service may integrate with third-party services including:

• Supabase: authentication, database, storage-related app infrastructure, and backend functions
• Stripe: payments
• Dropbox: storage
• Google Gmail: user-initiated email sendouts using the Gmail send permission

Use of these services is subject to their own terms and policies. Gmail access can be disconnected in the app. Third-party APIs may change, limit, or interrupt integration functionality outside Producer Brain's control.

8. Payments and Subscriptions

Certain features require a paid subscription. Payments are processed by Stripe. ProducerBrain launch pricing is Starter at CHF 19/month and Pro at CHF 29.99/user/month unless a written offer states otherwise. Pro includes a Team Workspace.

Public trials run for 14 days. Unless you cancel before the trial ends, your selected plan is charged after the trial. Taxes may apply depending on your location.

Subscriptions renew automatically unless cancelled before the renewal date. Users may manage or cancel subscriptions through the billing portal. Cancellation normally takes effect at the end of the current paid billing period unless mandatory law requires otherwise.

Refund requests are reviewed case by case. ProducerBrain does not provide outcome-based refunds for no placements, no replies, no streams, no revenue, not using the Service, misuse, fraud, abuse, or ignored clear trial or cancellation reminders.

9. Service Availability

We strive to keep the Service available but do not guarantee uninterrupted operation. Maintenance, updates, or external dependencies may cause downtime.

10. Limitation of Liability

To the maximum extent permitted by law, Producer Brain shall not be liable for:

• Indirect or consequential damages
• Loss of data
• Loss of business opportunities

11. Termination

We may suspend or terminate access if:

• You violate these Terms
• Required by law
• Necessary to protect the Service

Users may delete their account at any time.

12. Changes to Terms

We may update these Terms periodically. Continued use of the Service constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by Swiss law, with venue in Canton Bern, Switzerland, unless mandatory consumer protection laws in your country require otherwise.
